Vince El Hayek is an associate in the New York office of Milbank LLP and a member of the firm’s Global Project, Energy and Infrastructure Finance group.

Primary Focus & Experience

Mr. El Hayek’s recent experience includes the representation of:

  • A lender group in the financing of a fiber company in North America;
  • The lenders in the $640 million financing for Boldyn Networks (f/k/a Mobilitie), one of the largest operators of data towers, shared network and other telecom infrastructure in the United States;
  • A developer in the refinancing of a portfolio of assets held in Mexico and Central America;
  • A developer in the construction financing of four solar energy projects in Chile;
  • A direct lender in the refinancing of debt for a portfolio of companies held around the Caribbean and Central America;
  • MUFG in the construction and bridge loan financing of a solar facility developed by Origis;
  • A lender group in the acquisition financing of several energy projects in Chile and the related refinancing of a solar project in Chile;
  • Blackstone in its tax equity investment in stand-alone battery storage projects in the United States;
  • A Luxembourg-incorporated investment management firm in a US$ 65 million refinancing deal;
  • Canada Pension Plan Investment Board in its formation of a joint venture with Ocean Winds to bid on and develop offshore wind energy projects in the United States;
  • Bank of America in the purchase of renewable tax credits from Invenergy;
  • Hartree Partners in its acquisition from Ares EIF, and the related financing, of Newark Energy Center, a 705-megawatt natural-gas-fired power generation facility located in Newark, New Jersey;
  • Rev Renewables Holdco, LLC as the borrower of a $300 million revolver facility that will provide loans and letters of credit for general corporate purposes of the borrower and its subsidiaries, including to provide credit support for certain obligations of subsidiaries of Rev Renewables, LLC;
  • Barclays The lende
  • The lenders in connection with the acquisition of 11 LNG infrastructure vessels owned by New Fortress Energy Inc. by a newly formed joint venture between funds managed by Apollo Global Management and NFE;
  • The Atlantic Gulf & Pacific Group in relation to an equity investment by Osaka Gas and the Japan Overseas Infrastructure Investment Corporation for Transport & Urban Development of up to US$120 million in its AG&P City Gas venture;
  • GIP and Saavi in connection with the acquisition of the Tierra Mojada combined cycle power plant in Jalisco, Mexico from Fisterra and Blackstone;
  • Saavi Energia in connection with its purchase three gas turbines from General Electric that it will use to provide power on a mobile basis to jurisdictions that need power on short term basis in Mexico;
  • Loan parties and the sponsor in connection with the refinancing of a renewable energy demand response / distributed generation business;
  • The lenders in a pre-construction bridge financing of a facility that will convert renewable energy to green hydrogen and hydrogen storage;
  • Represented the senior lenders to a 300 MWac solar electric generating project located in Nevada. Later represented the senior lenders in an expansion to this facility to include battery storage;
  • Represented a private equity fund in connection with the development and financing of a portfolio of solar-diesel hybrid projects in Africa;
  • Advised the sponsors in relation to the development and project financing of the 270MW Sapphire Wind Farm, which was one of the first wind farms in Australia to be financed on a part-merchant basis;
  • Represented the senior lenders to the 1,085 MW Niles Energy Center combined-cycle natural gas fired power project in Michigan;
  • Represented Fotowatio Renewable Ventures, a leading global developer of renewable utility-scale projects, in the financing of the 342 MW dc Potosí Solar Farm in Mexico. The financing is being provided by KfW, Bancomext and ING. The project will be the first to be operated by FRV in the country. The Potosí Solar Farm is located 60km northeast of the city of Zacatecas in the State of San Luis de Potosí; and
  • Represented the developer of a 250 MW wind project in Nobles County, Minnesota.
