Neeraj Budhwani

Primary Focus & Experience

With over two decades of experience, Mr. Budhwani focuses his practice on cross-border private equity and M&A transactions, and has extensive experience advising on leveraged buy-outs, acquisitions, disposals and joint ventures as well as public to private transactions and general securities related work. He regularly advises many of the world’s leading international private equity firms, alternative investment funds and other financial and strategic investors in connection with their activities throughout the Asian region.

Neeraj’s experience includes advising:

• Unispace in connection with its acquisition of Bio Pharma Engineering Limited, a bespoke engineering design house for the pharmaceutical and life sciences sectors, focused on delivering mid-range capital value projects in Ireland.
• Unispace in connection with its acquisition of Downstream, a leading experiential design company providing digital and physical experiences in numerous destination spaces around the world.
• Goldman Sachs on the sale of its shares in Antuit Holdings Pte. Ltd. ("Antuit") a global analytics company that specializes in artificial intelligence demand forecast and omnichannel inventory optimization, to Zebra Technologies Corporation.
• Globe Telecom Inc. in connection with a joint venture partnership with ST Telemedia Global Data Centres and Ayala Corporation for the development, construction and operation of data centre projects in the Philippines.
• The Union Bank of the Philippines in connection with its acquisition of the consumer banking business of Citigroup Inc. in the Philippines through a highly competitive auction process.
• ADV Partners Limited in connection with its leveraged buyout of ISS Environmental Services (HK) Limited, a company engaged in facilities management, sewage management and mechanical street cleaning in Hong Kong.
• China Investment Corporation (CIC) on the restructuring of a joint venture company that holds properties in Japan.
• Asia Financial Services Company, an entity controlled by CVC Capital Partners Asia Pacific III L.P, in connection with the sale of shares in Sun Hung Kai & Co. Limited to AP Emerald Limited, an indirect wholly-owned subsidiary of Allied Group Limited.

Mr. Budhwani is recognized as a leading practitioner by Chambers Asia Pacific who note that he is “held in high regard by peers for his deal management skills” and lauded by clients who attest to him being “very responsive and client service oriented” and “very good at getting the deal done and keeping relationships very amicable”. In IFLR1000, Mr. Budhwani was recognized as a “Highly Regarded” lawyer for his expertise in Private Equity in Hong Kong. In 2023, Mr. Budhwani was recognized as one of the Top 10 Most Influential M&A Lawyers in China by Business Today. 

Prior to joining Milbank, Mr. Budhwani practiced law in the Hong Kong office of a Magic Circle law firm and prior to that in London.
