Primary Focus & Experience

Tristram has extensive experience advising the full range of stakeholders across the capital structure, including asset managers, hedge funds, alternative capital providers, banks, private equity sponsors and corporates, on restructuring, special situations, direct lending and leveraged finance transactions, often involving complex and bespoke debt instruments and intercreditor structures.

His experience includes:

• Advising an ad hoc group of senior lenders on the recapitalization of the Accell Group.
• Advising HPS Investment Partners and Blackstone Credit & Insurance in connection with Superbet Group’s €1.3bn refinancing.
• Advising the initial purchasers and lenders in connection with Flos B&B Italia S.p.A.’s high yield bond offering and refinancing.
• Advising the financing sources for Onex Partner’s acquisition of Farsound.
• Advising the initial purchasers in connection with Omnia Della Toffola S.p.A.’s €500m debut high yield bond offering and super senior revolving credit facility.
• Advising the initial purchasers in connection with SIG plc’s high yield bonds offering.
• Advising Strategic Value Partners in relation to the recapitalization and refinancing of Schoeller Allibert Group of its €250m senior secured notes.
• Advising HENSOLDT AG on the financing of the acquisition of ESG Elektroniksystem- und Logistik-GmbH (“ESG”).
• Advising the initial purchasers and lenders in connection with the offering by International Design Group S.p.A. of €425m in aggregate principal amount of senior secured notes and the amendment, maturity extension and upsize of its existing revolving credit facility.
