Primary Focus & Experience
Mr. Pepper’s practice focuses on representing banks, direct lenders and other financial institutions in syndicated and private leveraged finance transactions. His experience includes domestic and cross-border acquisition financings, unitranche financings, preferred equity issuances, mezzanine financings and recapitalizations. Mr. Pepper also represents investors in special situation financings and restructurings, including debtor-in-possession and exit facilities. Recent financings on which he advised the financing sources include Cirque du Soleil, Pushpay, Barracuda Networks, Vibrantz Technologies and McAfee.
Recognition & Accomplishments
Mr. Pepper is ranked as a Rising Star for Banking in IFLR1000’s 2024 USA and New York rankings, and he was recognized as a recommended lawyer for Commercial Lending in Legal 500’s 2022 USA guide.
Mr. Pepper co-authored “US Bank Regulatory Agencies Issue Final Guidance on Leveraged Lending Practices: High-Level Considerations for Financial Institutions,” Butterworths Journal of International Banking and Financial Law, June 2013.
Mr. Pepper earned his J.D. cum laude from the University of Pennsylvania Law School and his B.S. from Cornell University.
