Primary Focus & Experience

Melanie advises on public and private capital markets and finance transactions with a focus on high yield bonds and cross border securities offerings across a broad range of sectors and jurisdictions. She has advised and represented issuers, financial institutions and underwriters on high yield bond offerings, investment grade offerings, liability management exercises, mergers and acquisitions, general corporate matters and US securities laws compliance. 

A selection of Melanie’s experience includes:

• Advising J.P. Morgan SE as placement agent of Transcom Holding AB in connection with its private placement of €65 million in aggregate principal amount of senior secured floating rate notes.
• Advising the Initial Purchasers on the €410.0 million bond financing for Bain’s acquisition of Italmatch Chemicals and the financing sources in Italmatch Chemicals’ bolt on acquisition of BWA
• Advising the Initial Purchasers in connection with the issuance of $235,000,000 senior secured notes by Ardonagh, an insurance intermediary group
• Advising Silversea Cruise Holding on its 550 million Inaugural Senior Secured Notes Offering*
• Acting as special counsel to the liability management of all bond liabilities following the separation of RWE AG and Innogy AG*
• Advising the Initial Purchasers in connection with the issuance of £806 million equivalent senior secured notes by insurance intermediary KIRS Group*
• Advising the Initial Purchasers on 5.2 billion bond financing in connection with GTECH S.p.A.’s acquisition of International Game Technology, Inc.*
