Katherine Hannah is an associate in the Washington, DC office of Milbank LLP and a member of the firm’s Project Energy & Infrastructure Finance Group.

Primary Focus & Experience

Ms. Hannah’s primary focus is on project sponsors, financial institutions, export credit and multilateral development agencies and other project participants in a wide range of US and cross-border project and structured financings, investment transactions and restructurings, with a particular emphasis on mining, oil & gas, energy transition projects, digital infrastructure, and energy and transportation infrastructure.

Ms. Hannah’s notable representations include:

  • Lenders in connection with an approximately $1bn financing to support the development of a 100MW datacenter in Georgia.
  • Anpac SpA's issuance of secured green notes in a private placement to support Grupo Cerro's hydroelectric portfolio, which consists of 10 run-of-river plants and has a total installed capacity of 73MW.
  • Bondholders in the restructuring of coal fired generation assets in Mississippi.
  • Sponsors in the connection with a $1bn corporate facility incurred to finance a Chilean copper mine (ONGOING).
  • Lenders in a $50m senior secured facility to support the construction and development of three RNG (biogas) facilities in Utah and Washington.
  • EIG Global Energy Partners and its subsidiary Cerro Dominador in connection with the financing of a 110 MW concentrated solar thermal power plant (the CSP project) and 100 MW photovoltaic solar power plant (the PV project) in the Antofagasta region in Chile.
  • Construction loan lenders to multiple portfolios of solar PV projects that operate under Chile’s special regime for distributed generation projects (“PMGD”), entitling the projects to sell their energy output at the regulated stabilized price, and a utility scale solar PV facility in Chile.
  • Caledonia Generating, LLC, as issuer, in connection with the offering of its $225m Senior Secured Notes to support Caledonia’s interest in the combined cycle power plant with a nameplate capacity of approximately 801MW located in Mississippi.
  • Ullico Infrastructure Fund (UIF) in connection with its financing and acquisition from Dominion Energy, Inc. of Hope Gas, Inc., a regulated gas distribution company located in West Virginia, through UIF’s portfolio company Hearthstone Holdings, Inc.
  • Lenders in connection with a $130m financing to support the development of a 16MW hyperscale data center in Quebec.
  • Administrative agent and joint lead arrangers in connection with a corporate facility for Transelec, S.A., Chile’s largest power transmission company.
  • Lenders in the $640m financing for Boldyn Networks (f/k/a Mobilitie), one of the largest operators of data towers, shared network and other telecom infrastructure in the United States
  • Lenders in connection with a $650m Holdco Refinancing of a portfolio of Solar, Wind, and BESS assets located throughout the US.
  • Export-credit agencies and a syndicate of commercial banks in connection with the mining projects of the Esperanza Copper Project, the Los Pelambres Project, Antucoya Project, Minera Escondida, Sierra Gorda, Caserones and others.
  • Lenders in connection with a $360m senior secured facility for the development of a 64MW datacenter in California.
  • Lead Arranger in connection with US$1.15b term loan b refinancing for TransMontaigne Partners LLC for its downstream terminal infrastructure platform.
  • Lenders in connection with a $400m senior secured facility for the development of a 48MW Datacenter in Virginia.
  • Sole Lender in the Pumpkin Hollow copper project in the United States (named “North American Mining Deal of the Year” by IJGlobal).
  • Institutional investors in project company and holding company 4(a)(2) private placements of four landfill gas to RNG projects owned by MAS Energy and located in the US and Canada.
  • Lender in a term loan back-leverage financing in support of Coatue’s commitments with respect to the CoreWeave acquisition financing.
  • EnfraGen, an indirect subsidiary of Glenfarne Group, in the US$1.7bn bank/bond refinancing of a portfolio of renewable energy and conventional power projects across Chile, Panama and Colombia, which facility includes LC, working capital, flexible, acquisition and other tranches of debt – this was a pioneering multi-tranche, and multi-purpose, combined bank and Rule 144A/Reg S bond financing.
  • Lenders in connection with a series of financings in connection with and for Brookfield’s acquisition of Duke Energy Renewables.
  • Institutional investors and LC issuing bank in connection with a private placement and $15m LC facility for Clearway Energy Utah Solar project.
  • Institutional investors in a $560m private placement financing under Rule 4(a)(2) for the Sidney A. Murray, Jr. Hydroelectric facility, a 192MW, run-of-river hydroelectric station located in Concordia Parish, Louisiana, owned by Catalyst Old River Hydroelectric Limited Partnership, a subsidiary of Brookfield Renewables.
  • Lenders providing approximately $140m in financing for the joint development by EDF EN Chile Holding SpA and Ibereólica Renovables Chile S.A. of a 115.5-megawatt alternating current (AC) power plant, substation and interconnection line in the Atacama region of northern coastal Chile.
  • Joint lead arrangers and book runners in connection to Nautilus Inkia Energy LLC’s (Inkia) US$342m acquisition of the 25% minority stake in Kallpa Generation S.A. (Kallpa) and Samay I S.A. (Samay) from Energia del Pacifico S.A. (EdP). 

Recognition & Accomplishments

Ms. Hannah earned her J.D. from Georgetown University Law Center, where she served as Staff Editor of the Georgetown Journal on Poverty Law and Policy and published her student note “Carrying out the Promise: How Shared Equity Models Can Save Affordable Housing.”  She received her B.A. cum laude, from the University of Florida, and was a member of Phi Beta Kappa.
