Milbank LLP recently advised on three landmark Latin American notes offerings.
Milbank represented the initial purchasers in connection with a notes issuance by Antofagasta plc, a London-based Chilean mining company. Antofagasta issued US$750 million Rule 144A/Regulation S 6.250% senior unsecured notes due 2034. Antofagasta intends to use the net proceeds from the issuance for general corporate purposes, including debt repayment.
The Milbank deal team was led by Corporate Finance and Securities partner Marcelo Mottesi and associates Gonzalo Guitart, Janelle Vacchiano and Diana Felipe.
Milbank also acted as special counsel to the initial purchasers in connection with a notes issuance by Aenza S.A.A., a Peruvian conglomerate with operations in the infrastructure, energy, real estate, and engineering and construction sectors. Aenza issued US$210 million Rule 144A/Regulation S 12.000% senior secured notes due 2029, fully and unconditionally guaranteed by Unna Energia S.A. The notes are secured by several Peruvian pledges and trusts as well as New York security agreements and are intended to be listed in Singapore.
The Milbank deal team was led by Corporate Finance and Securities partner Marcelo Mottesi, associates Gonzalo Guitart and Marco Zaldivar, and international attorney Pamela Molina. The team also included Tax partner Andrew Walker.
Finally, Milbank represented Cencosud S.A. in connection with the issuance of its US$650 million Rule 144A/Regulation S 5.950% senior unsecured notes due 2031. Cencosud, headquartered in Chile, is a leading multinational retail company.
