Rachel Rice is an associate in the New York office of Milbank LLP and a member of the firm’s Global Corporate/M&A Group. 

Primary Focus & Experience

Ms. Rice advises public and private companies on a wide range of strategic transactions, including complex merger and acquisition transactions, debt and equity investments and joint ventures. She also counsels boards and investors on fiduciary duties and other corporate governance matters.

Ms. Rice's recent representations includes:

  • The co-owners of Colonial Enterprises in connection with their agreement to sell 100% of their shares in Colonial Enterprises, which holds the Colonial Pipeline, to Brookfield Infrastructure Partners L.P and its institutional partners. The co-owners of Colonial are Caisse de dépôt et placement du Québec, IFM Investors (IFM), KKR-Keats Pipeline Investors L.P., Koch Capital Investments Company, LLC and Shell Midstream Operating LLC.
  • H&E Equipment Services, Inc., one of the largest equipment rental companies in the nation, in its acquisition by Herc Holdings Inc.  
  • Global Container Terminals Inc. on the sale of its U.S. terminals on Staten Island, NY and in Bayonne, NJ, to CMA CGM Group, a global shipping and logistics leader based in Marseille, France.
  • Computer Design & Integration, a portfolio company of One Equity Partners, in its sale to AHEAD, a portfolio company of Berkshire Partners and Centerbridge Partners.
  • Veritas Capital in the take-private acquisition of Syneos Health, a biopharmaceutical solutions provider, by a consortium that also included Elliott Investment Management and Patient Square Capital.
  • Seacor Marine Holdings, Inc., a leading provider of marine and support transportation services to offshore oil and natural gas and wind farm facilities worldwide, in the sale of its minority equity interests in its unconsolidated joint ventures in Mexico and a series of related asset swaps to affiliates of Proyectos Globales de Energía CME, S.A. de C.V.
  • Sonantic, a voice AI company, in its acquisition by Spotify.
  • bp in its acquisition of AMPLY Power, Inc., an EV charging and energy management provider for fleets.
  • Apex Clean Energy, an established industry leader in the origination, commercialization, construction, and operation of utility-scale wind energy facilities, in the sale of a majority stake in the company to funds and other accounts managed by Ares Management Corporation.
  • Local Bounti, a premier controlled environment agriculture company redefining conversion efficiency and environmental, social and governance standards for indoor agriculture, in its business combination with Leo Holdings III Corp, a SPAC sponsored by Lion Capital.
  • Turn/River Capital in the sale of Invicti Security, a global leader in web application security, to Summit Partners.
  • Second Spectrum in its acquisition by Genius Sports.
  • Invoice2go in its acquisition by Bill.com.

Recognition & Accomplishments

Ms. Rice has been recognized in the fourth and fifth editions of Best Lawyers: Ones to Watch® in America for her expertise in Mergers and Acquisitions Law. Ms. Rice earned her J.D. from the University of North Carolina School of Law. Prior to law school, Ms. Rice earned a B.A. in Political Science and Public Policy Leadership from the University of Mississippi.
