Primary Focus & Experience
With a focus on power generation and transmission, renewable energy (including solar, onshore and offshore wind and hydroelectric) and infrastructure (including electric vehicle charging networks) projects, Mr. Smit represent developers, sponsors and private equity funds in mergers, acquisitions, divestitures, joint ventures, spin-offs, restructurings, tax equity financings and other corporate and financing transactions.
His transactional representations include advising:
- LS Power in its acquisition of EVgo, the United States’ largest public fast charging network for electric vehicles.
- LS Power in its acquisition of approximately 3,950 MW of natural gas and wind generation resources in the Northeastern United States, through its affiliate Helix Generation, LLC, from TransCanada Corporation.
- LS Power in its acquisition of approximately 844 MW of generation resources in the Northeastern United States, through its affiliate Aspen Generating, LLC, from FirstEnergy Corporation.
- ArcLight Capital Partners in its acquisition of approximately 4,850 MWs of generating assets from NRG Energy, Inc.
- A fund managed by BlackRock Real Assets in its acquisition of 752 MW of wind assets across seven sites in Pennsylvania, Illinois, California and New York.
- A fund managed by BlackRock Real Assets in the acquisition from General Electric of its C&I solar business.
- SB Energy (a subsidiary of SoftBank Group Corp.) on the tax equity financings of each of the five projects in its cornerstone 1.7GW utility-scale solar portfolio.
- Nabors Industries Ltd. in its acquisition of all issued and outstanding common shares of Tesco Corporation, a global leader in the design, manufacture and service of technology-based solutions for the upstream energy industry.
- LS Power in its acquisition of CPower, a leader in Demand Response and Distributed Energy Resources in North America.
Recognition & Accomplishments
Mr. Smit earned his LL.B. cum laude from the University of Pretoria, where he was the recipient of a merit-based academic scholarship, Academic Honorary Colours and the Securities Law Subject Prize, and obtained his BSc in Banking & Finance, with honours, through the London School of Economics.
