Primary Focus & Experience
Kelsey's practice focuses primarily on representing sponsors and lenders in project finance, M&A and project development with an emphasis on power and infrastructure.
Her representations include the representation of:
- Lenders financing the $150 million revolving credit facility refinancing for Carrix, Inc., one of the world’s largest marine terminal operators, and the $105 million revolving credit facility for SSA Terminals (Seattle Terminals), LLC, and entity indirectly owned by Carrix*;
- OMERS Infrastructure Management on the acquisition of Leeward Renewable Energy from affiliates of ArcLight Capital Partners, and the related financing*;
- Canada Pension Plan Investment Board on the $6.1 billion acquisition of Pattern Energy Group, which owns 28 renewable energy projects, including wind and solar, totaling 4.4 gigawatts across the US, Canada and Japan*;
- Joint lead arrangers and joint bookrunners on a $130 million refinancing related for LS Power’s Wallingford project, a 250 MW combined cycle gas turbine plant in Connecticut*;
- MUFG as lead arranger on the $379.6 million financing for Citizens Parking, one of the largest parking companies providing 1,200 locations and 320,000 parking spaces across the US and Puerto Rico*;
- Development Bank of Japan on the co-investment with Meridiam Infrastructure in the I-66 Express Lanes Project in Virginia*;
- Oryx Midstream Services LLC (Oryx Midstream), a portfolio company of Stonepeak Infrastructure Partners, on its acquisition of Targa Resources Corp.’s Permian Delaware crude business, valued at approximately $135 million*;
- Joint coordinating lead arrangers and joint bookrunners on a financing for to LS Power’s Riverside University Park North and University Park South Projects*; and
- The sponsor in sale of tax equity interests in approx. 2,000 MW wind and solar portfolio*.

Recognition & Accomplishments
Kelsey received her law degree (cum laude) from Georgetown University Law Center and her Bachelor of Arts (honors) from the University of Notre Dame. Kelsey is admitted to practice in New York. Prior to joining Milbank, Kelsey practiced in a leading American law firm focusing on the financing of power and infrastructure projects.
