Primary Focus & Experience

Mr. Hill’s practice focuses on the representation of project sponsors and financial institutions on a range of US and cross-border project financings. His recent representations include:

• Represented Oak Hill Advisors, L.P. as a lead arranger and BMO Capital Markets Corp. as left lead arranger for the refinancing of Mammoth Holdings, a portfolio company backed by Red Dog Equity, The Pritzker Organization, and CCMP Growth Advisors. The private financing solution totaled over $500 million in size, including a unitranche term loan, delayed draw term loan, and revolving credit facility. Headquartered in Dallas, Texas, Mammoth Holdings is one of the largest car wash operating platforms in the United States and maintains a multi-brand portfolio with over one hundred locations across the country.
• Advised the underwriters in connection with Verizon’s sixth $1 billion green bond offering. Net proceeds of the issuance will be allocated entirely to renewable energy investments.
• Advised Valia Energía, one of the largest private energy generation platforms in Mexico, in connection with a $530 million bond financing and related working capital facility by Buffalo Energy Mexico Holdings, S.A. de C.V., Buffalo Energy Infrastructure, S.A. de C.V. and Buffalo Energy, S.A. de C.V., as co-issuers. This innovative portfolio financing transaction will contribute to expanding Valia Energía’s significant footprint in the Mexican energy market and consolidate its position as one of the top 10 independent power generators in Latin America in terms of total installed capacity. Valia Energía, a portfolio company of global private equity fund manager Actis, has a total commercial capacity of 3.2 GW distributed among seven gas-fired power generation plants.

Recognition & Accomplishments

Justin Hill earned his J.D., cum laude, from The Ohio State University Moritz College of Law, his M.B.A., summa cum laude, from The Ohio State University Fisher College of Business, and his B.S., summa cum laude, from The Ohio State University.

During his time at The Ohio State University Moritz College of Law, Justin Hill was honored as a Public Service Fellow by the Supreme Court of Ohio and the Ohio Access to Justice Foundation for over 250 hours of pro bono service. Additionally, he was a contributing member of the Ohio State Law Journal and served as the Sports and Entertainment Law Association’s President.
