Jonathon Jackson is a partner and the Practice Group Leader of Milbank’s Corporate Finance and Securities Group and is based in New York.

Primary Focus & Experience

Mr. Jackson has extensive experience advising both corporate and financial institutions on a broad range of capital markets and distressed and special situation investment opportunities. His expertise includes high-yield and convertible debt, securitizations, as well as initial public offerings and preferred equity. He also regularly advises on in-court and out-of-court restructurings and liability management. Mr. Jackson’s practice also includes advising on corporate governance, SEC reporting, and compliance matters and he has experience across a variety of sectors including retail, oil and gas, pharma/healthcare, industrials, biotech, aviation and technology.

High Yield Debt

  • EquipmentShare.com – represented the initial purchasers in connection with the issuance of $600 million senior secured notes.
  • Guitar Center – represented Guitar Center in connection with its issuance of $350 million first lien notes.
  • Orazul Energy Egenor – represented the issuer, a Peruvian energy company (formerly controlled by Duke Energy), in its $550 million inaugural high yield offering.
  • Medline – represented the initial purchasers in connection with the senior secured and senior unsecured notes issued in connection with the $32 billion acquisition of Medline Industries by Blackstone Inc., The Carlyle Group, Inc. and Hellman & Friedman LLC.
  • Madison IAQ – represented the initial purchasers in connection with $700 million senior secured notes and $1.035 billion senior notes issued in connection with the acquisition of Nortek Air Solutions.
  • Delta Airlines – represented the initial purchasers in connection with the issuance of $2.5 billion of notes due 2025 and $3.5 billion of notes due 2027, each secured by Delta’s loyalty programs. This transaction was named “High Yield Deal of the Year” by IFLR Americas Awards.
  • Pattern Energy – represented the initial purchasers in connection with the issuance of $700 million of “Green Bonds.”
  • BMC Software – represented the lenders in connection with euro and dollar denominated notes issued in connection with KKR’s acquisition of BMC Software and in connection with the first and second lien notes issued in connection with BMC’s acquisition of Compuware.

Convertible Debt

  • Air Canada – represented the initial purchasers in connection with the issuance of $747.5 million convertible notes.
  • WisdomTree – represented the initial purchaser in connection with the issuance of $150 million convertible notes.
  • Nabors Industries, Inc. – represented the issuer in connection with the $500 million exchangeable senior notes offering and multiple liability management transactions.
  • SEACOR Holdings – represented the issuer in connection with the issuance by its subsidiary of $175 million in convertible/exchangeable notes.
  • Jet Blue – represented the initial purchasers in connection with the issuance of $750.0 million convertible notes.

Equity

  • Brookfield Infrastructure Partners – represented the underwriters in connection with an issuance of Preferred Limited Partnership Units.
  • Park Square Capital – represented the lender in connection with multiple investments and purchases of preferred equity.
  • Brookfield Renewable Partners – represented the underwriters in connection with an issuance of Class A Preferred Limited Partnership Units.
  • Air Canada – represented the initial purchasers in the issuance of $575 million offering of Class A variable and Class B voting shares.
  • Turning Point Brands – represented the issuer in connection with its SEC registered Initial Public Offering.

Restructuring & Reorganization

  • JC Penney – exit financing for JC Penney restructuring.
  • Guitar Center – represented the company in connection with its prepackaged plan and exit financing.
  • Boart Longyear – represented the company in connection with its recapitalization.
  • Gymboree Corporation – represented the term loan agent in connection with restructuring of the Gymboree Corporation and the related debt for equity exchange, equity offering and debt offerings.
  • Magnetation – represented the ad hoc committee of lenders in connection with a 363A asset sale under the Bankruptcy Code and in connection with the offering of secured notes.
