Ms. Smith represents clients in a range of corporate and securities-related matters, including equity offerings, high yield debt offerings, restructurings, tender and exchange offers, and acquisition financing. Her practice also includes advising clients regarding general SEC disclosure and compliance, governance and general corporate law matters.

- Anywhere Real Estate Inc. in its up-tier exchange offer of $800 million in senior secured notes
- Eli Lilly & Co in connection with various early-stage investments in emerging companies
- Gen Digital Inc. (formerly NortonLifeLock Inc.) in a $1.5 billion dual-tranche offering of unsecured notes
- Norwegian Cruise Lines Holdings Ltd. in various internal reorganization and governance matters, notes offerings totaling over $3.2 billion and various other financing commitments
- Owens & Minor, Inc. in its $1.6 billion acquisition of Apria and related $600 million offering of senior notes to fund the acquisition, including related financing transactions and ongoing compliance, disclosure and governance advice
- Retail Ecommerce Ventures, LLC, in connection with its chapter 11 bankruptcy
- Triton Partners and its portfolio company WernerCo in its offering of $660 million of secured notes, including an exchange offer to holders of existing unsecured notes and new-money offer of senior secured notes
- Vericast Corp. in multiple offerings of senior secured and unsecured notes, refinancings and repurchases thereof and consent solicitation processes in connection therewith, totaling approximately $2 billion
- Vista Equity Partners, alongside an affiliate of Elliott Investment Management, in its $16.5 billion acquisition of Citrix Systems, including offerings of approximately $4 billion of secured notes and $2.5 billion of preferred equity
- Vista Equity Partners and its portfolio company Cloud Software Group in various offerings of senior secured notes totaling over $5.6 billion
- SEC compliance, disclosure and governance advice for companies including Owens & Minor, Sientra, Inc., Fox and Townsquare Media
