Guilherme’s practice concentrates on capital markets, M&A, financing, and general corporate matters. Guilherme has been involved in numerous capital markets and M&A transactions across different sectors, including the following:

• Business combination between leading Latin American airlines GOL Linhas Aéreas S.A. and Avianca S.A. for the creation of Abra Group, a holding company co-controlled by GOL’s and Avianca’s principal shareholders. Deal counsel, advisor to the Abra Group;
• Equity Investment by American Airlines Inc. in GOL Linhas Aereas S.A., a Brazilian airlines. Advisor to GOL;
• Follow-on offering of Arezzo S.A., a Brazilian fashion retailer. Advisor to Arezzo;
• Series B funding of Pismo Holdings, a Brazilian banking and payments platform. Advisor to Pismo;
• Follow-on offering of TOTVS S.A., a Brazilian software company. Advisor to TOTVS;
• Acquisition by Magazine Luiza of Nonsense Creations LLC and Jovem Nerd. Advisor to Magazine Luiza.
• Investment by New Fortress Energy in an LNG terminal and gas-fired power plant in Northeast Brazil. Advisor to New Fortress Energy.
• Acquisition by Ser Educacional of Laureate Education’s business in Brazil. Advisor to Ser Educacional.
• Bonds offering of Light S.A., a Brazilian electricity company. Advisor to Light S.A.;
• Initial public offering of GPS S.A., a Brazilian facilities company. Advisor to GPS S.A.;
• Initial public offering of Grupo Mateus S.A., a Brazilian retail company. Advisor to Grupo Mateus;
• Follow-on offering of EZTEC, a Brazilian real estate company. Advisor to EZTEC;
• Acquisition by KKR of Gunnebo Industrier AG, a Swedish construction company. Advisor to KKR;
• Investment by Warburg Pincus in Practice Velocity LLC, an American healthcare company. Advisor to Warburg Pincus;
• Acquisition by Itaú Unibanco S.A. of Banco Citibank S.A., Brazilian subsidiary of Citibank. Advisor to Itaú Unibanco; and
• Acquisition by Actis of a minority stake in Cruzeiro do Sul Educação, a Brazilian education group. Advisor to Actis.
