Primary Focus & Experience
Mr. Fadale practices primarily in the areas of mergers and acquisitions, leveraged buyouts, restructuring transactions and control and non-control investments. He also counsels clients in general corporate law matters. Andrew’s experience includes transactions across multiple industries and structures, including representing private equity buyers and sellers in connection with investments in the automotive, aerospace and defense, energy, financial services, manufacturing and consumer retail sectors.
Mr. Fadale’s notable representations in recent years have included:
- StratoLaunch in its acquisition of certain assets from Virgin Orbit in bankruptcy;
- Cerberus in its acquisition of M1 Support Services;
- Cerberus in its carve-out acquisition of the Calspan hypersonics business from Transdigm;
- Cerberus in its sale of DynCorp to Amentum;
- Cerberus in its restructuring acquisition of American Achievement Corporation;
- Keane Group Inc. in its merger of equals with C&J Energy Services to form NexTier Oilfield Solutions;
- A credit bid acquisition of Kermmerer Mine in Westmoreland bankruptcy;
- Murray Energy in its acquisition of Mission Coal; and
- Saavi Energía, a portfolio company of Global Infrastructure Partners, in the acquisition of the Tierra Mojada combined cycle power plant in Jalisco, Mexico from Fisterra and Blackstone.
Recognition & Accomplishments
Mr. Fadale received his J.D. from Washington and Lee University School of Law and his B.S. from the University of Florida. Prior to joining Milbank in 2021, he was a partner at a leading US law firm serving the financial industry. Mr. Fadale has been recognized by IFLR1000 as a Notable Practitioner in the M&A space and as a Notable Lawyer in New York.
