Milbank Advises Engineering on Acquisition of 51% in DST and EMDS

The international law firm Milbank, Tweed, Hadley & McCloy LLP has advised the Italian company Engineering Ingegneria Informatica SpA on the acquisition of 51% of shares in Consulting GmbH ("DST") and EMDS GmbH ("EMDS"), two wholly owned subsidiaries of F-Net AG, Stuttgart. F-Net will continue to be a 49% shareholder, to support the development and integration of the two companies. The transaction will be concluded by the creation of a joint holding company of Engineering and F-Net, to which the respective shareholdings in DST and EMDS will be transferred.

The Engineering Group, headquartered in Rome, is listed on the Milan stock exchange and is the Italian leader in the Information Technology sector. With more than 8,000 employees, Engineering is represented in over 40 offices in Italy, Europe, South America and the US. The two companies, DST and EMDS, employ about 300 people with a turnover of about € 35 million.

The agreement is still subject to clearance by the relevant antitrust authorities.
