Responsibilities:  

  • Draft financing documents, including term sheets, financing agreements, security documents, share purchase agreements, intercreditor agreements, and corporate documents.
  • Conduct due-diligence reviews of financing and corporate documents, including credit agreements, indentures, by-laws, corporate minutes, power purchase agreements, procurement, and construction agreements.
  • Review share purchase agreements and subscription agreements in connection with corporate Mergers & Acquisitions (M&A). 
  • Prepare security documents and financing and credit agreements for term loan and revolving loan credit facilities related to financing packages for M&A and corporate refinancings.  

Position Requirements:

  • JD, LLM or foreign equivalent
  • Three (3) years of experience practicing law 

Salary Range: $260,000 per year

One (1) year of experience must include:

  • Conducting due diligence reviews of financing and corporate documents, including credit agreements, indentures, by-laws, corporate minutes, power purchase agreements, procurement, and construction agreements.
  • Drafting financing agreements, security documents, and credit agreements for cross-border corporate and M&A transactions.
  • Preparing offering memoranda, purchase, and underwriting agreements for cross-border transactions.
  • Reviewing corporate documents, including share purchase agreements and shareholders’ agreements. 
  • Executing deal closings with respect to M&A and finance transactions.

  • Provide legal counsel and draft transactional documents related to domestic and cross-border mergers and acquisitions (M&A) and Private Equity (PE) transactions, and general corporate governance matters.  
  • Draft, prepare, and review filings and disclosure documents, including proxy statements, registration statements, tender offer documents, consent solicitation documents, Form 8-K, Form 25, Schedule 13-D, and Schedule 13-G.
  • Conduct due-diligence reviews of corporate, commercial, and litigation documents, as well as real property leases, insurance agreements, employment agreements, consultant agreements, credit agreements, and indentures.
  • Organize closing rooms and manage coordination of transaction closing processes.
  • Liaise with local counsel in a variety of jurisdictions on aspects of cross-border financings.

Position Requirements:

  • JD, LLM or foreign equivalent
  • One (1) year of experience practicing law
  • NY Bar admission required. 

Salary Range: $365,000 per year

One (1) year of experience must include:

  • Drafting stock and asset purchase, merger, business combination, debentures purchase, LLC, and registration rights agreements for domestic and cross-border transactions.
  • Preparing charters, by-laws, corporate resolutions, and corporate officer certificates. 
  • Drafting disclosure documents, including proxy statements, registration statements, consent solicitation documents, Forms 8-K, Forms 25, and Schedules 13-G.
  • Advising on compliance with Securities Act of 1933 and reporting requirements under the Exchange Act of 1934, NYSE, and NASDAQ rules.
  • Executing M&A and PE deal closings.
